These Terms of Service (“Terms”) govern your access to and use of the Syndicate Code website (“Website”) and the Syndicate Code software and service (“Service”) operated by AI Syndicate Inc. (“AI Syndicate”, “we”, “us”, or “our”).
1. Acceptance of Terms
By accessing or using our Website or Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. By using the Service, you represent that you have the legal capacity to enter into this agreement.
2. Description of Service
Syndicate Code is a self-hosted control plane for AI coding tools. It provides approval-gated execution and immutable event logging for AI-initiated code actions. The Service includes:
- The Syndicate Code CLI and related software
- Control plane API and event store functionality
- Documentation and support materials
- Updates and maintenance releases
3. License and Use Rights
3.1 Open Source License
Syndicate Code is released under open source licenses. Your rights to use the software are governed by the applicable open source license (currently MIT License). You may use, modify, and distribute the software in accordance with the open source license terms.
3.2 Service Access
When you access our Website or use any hosted portions of the Service, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms.
3.3 Restrictions
You agree not to:
- Use the Service in any manner that violates applicable law
- Attempt to gain unauthorized access to any systems or networks
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble the software except as permitted by applicable law
- Use the Service to develop a competing product or service
- Resell, sublicense, or distribute the Service without our written consent
4. Account Registration
Some features of the Service may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use of your account.
5. Fees and Payment
Certain features of the Service may be subject to fees. If applicable, fees will be displayed at the time of purchase or subscription. All fees are non-refundable except as required by law or as explicitly stated in a separate agreement.
6. Data and Intellectual Property
6.1 Your Data
When you run Syndicate Code on your own infrastructure, you retain all ownership of your data, including code, approval records, event logs, and session data (“Your Data”). We do not claim ownership of Your Data. You grant us a limited license to process Your Data as necessary to provide the Service to you.
6.2 Service Data
When you use our Website or hosted Service, we may collect data about your use of the Service (“Service Data”). Service Data does not include Your Data processed by self-hosted instances. We retain Service Data in accordance with our Privacy Policy.
6.3 Intellectual Property
We retain all rights in the Service, including the Website, software, documentation, trademarks, and logos. You may not use our trademarks without our written consent. The open source software components of Syndicate Code retain their respective licenses.
7. Warranties and Disclaimers
7.1 Warranties
We warrant that:
- The Service will be provided in a professional and workmanlike manner
- We have the right to grant the licenses described in these Terms
- We will not knowingly introduce malware or other harmful components
7.2 Disclaimers
EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR THE ADEQUATE PROTECTION AND BACKUP OF YOUR DATA.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AI SYNDICATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless AI Syndicate and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these “Terms” or your use of the “Service”.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with an updated “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
12. Termination
You may terminate these Terms by discontinuing use of the Service. We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.
13. Export Controls
You agree to comply with all applicable export control laws and regulations. The Service may not be used in violation of any export control restrictions.
14. Support and Maintenance
Support and maintenance for the Service is provided as described in your separate support agreement, or as posted on our Website. For open source components, support is provided by the community in accordance with the applicable open source license.
15. Bounded Claims
Syndicate Code makes explicit, bounded claims about its functionality. Each claim defines: what is guaranteed, the scope of application, explicit exclusions, and failure modes. These bounded claims are made available at syndicatecode.ca/product. THE CLAIMS ARE PROVIDED FOR YOUR CONVENIENCE AND DO NOT CONSTITUTE A WARRANTY. PLEASE REVIEW THE CLAIMS AND THEIR LIMITATIONS BEFORE DEPLOYING THE SERVICE IN PRODUCTION.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and AI Syndicate regarding the Service and supersede all prior agreements and understandings.
